What is Non Open Market Trading?

I was searching for Lockheed Martin and it’s top shareholders when i found this guy.

Stevens Robert J who was Chairman, President and CEO of Lockheed Martin (Whoa!) until January 1st 2013.

Now, this guy according to Yahoo Insider Trades - STEVENS ROBERT J - Yahoo! Finance has acquired 1,000 shares on 2-Feb-15 for $0 a share and at 16-Feb-15 8,183 shares for $24,44 per share! (price was $197 that time) and what do you mean Non Open Market? who would sell his 8000 shares for 24,44 gaining 200k when he could get 1,6 Mil at the Stock exchange? Still don’t get it. And all of this is ok with CFTC?

By the way i’ve seen in the past other companies with things like this and “gifting” their CEOs with thousands of shares. That includes Tim Cook. I’ve also seen nasty moves like gaining thousands of “free” or lower cost stocks and then 3 days later selling around 70% of those to the Stock Exchange.
